Terms of Use and Client Agreement

1. Introduction
Welcome to Truevail, an all-in-one platform providing automated and customizable digital marketing solutions for luxury travel advisors. These Terms of Use (“Terms”) govern your access to and use of Truevail’s services, websites, and applications located at https://truevail.com
and https://truevailapp.com (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
2. Definitions
For purposes of these Terms:
- “Client” means the individual or business entity that creates an account with Truevail, including its authorized users, employees, contractors, and agents.
- “Services” means the Truevail platform and all related tools, content, and services.
- “Content” means all templates, campaigns, designs, images, copy, and materials provided by Truevail.
3. Services
Truevail provides digital marketing services for travel advisors, including but not limited to:
- Email campaign creation and management
- Social media content, scheduling, and automation
- Content libraries and templates
- Website design, setup, and hosting
- DIY and Done-For-You marketing solutions
All Services are intended solely for business use within the travel advisory industry.
4. Account Registration
To use the Services, the Client must create an account and agree to:
- Provide accurate and complete information
- Maintain the confidentiality of login credentials
- Ensure all authorized users comply with these Terms
- Notify Truevail of any unauthorized access
Truevail may suspend or terminate accounts suspected of misuse or unlawful activity.
5. Client Content and Responsibilities
Clients may submit content for inclusion in campaigns or materials. The Client is solely responsible for the accuracy, legality, and ownership of all submitted content.
By submitting content, the Client grants Truevail a non-exclusive, royalty-free license to use, reproduce, and display such content solely to provide the Services.
The Client remains responsible for reviewing and approving all final materials distributed through the platform.
6. Client Databases and Data Security
Client contact lists and related data are used solely to provide the Services. Truevail does not sell, share, or use Client databases for its own marketing purposes.
Truevail implements reasonable security measures and complies with applicable data protection laws, including GDPR and CCPA, as further described in our Privacy Policy and Data Processing Agreement.
7. Data Protection & Processing
To the extent Truevail processes personal data on behalf of the Client, the Client is the Data Controller and Truevail is the Data Processor.
Such processing is governed by Truevail’s Data Processing Agreement (“DPA”), incorporated into these Terms by reference and available at: https://truevail.com/data-processing-agreement/
In the event of a conflict, the DPA controls with respect to data processing obligations.
8. Platform Security and Account Integrations
Truevail uses secure API integrations for third-party platforms. Truevail does not store third-party passwords.
Clients are responsible for maintaining security of connected third-party accounts. Truevail is not responsible for breaches occurring outside its platform.
9. Intellectual Property & Use of Licensed Content
All Content provided by Truevail is owned by Truevail or its licensors and is protected by intellectual property laws.
Truevail grants the Client a limited, non-exclusive, non-transferable, revocable license to use the Content solely as delivered and solely for its intended purpose as part of the final deliverable.
Licensed Stock Assets
Where Content includes licensed stock assets, such assets may only be used as incorporated into the final deliverable and may not be extracted, reused, repurposed, redistributed, sublicensed, or resold without additional licensing.
Unauthorized Use
The Client assumes full responsibility for any unauthorized use of Content. Truevail is not responsible for claims arising from use beyond permitted scope. Unauthorized use may result in suspension or termination of Services.
10. DIY and Done-For-You Services
Content provided through Done-For-You services is delivered as-is for its intended use. Truevail does not guarantee compatibility outside the platform.
DIY content remains subject to these Terms. Truevail may remove content that violates intellectual property laws or applicable regulations.
11. Privacy and Data Usage
Use of the Services is governed by our Privacy Policy, which describes how personal data is collected and used.
12. No Guarantee of Results
Truevail does not guarantee specific marketing results or ROI. Outcomes depend on factors beyond Truevail’s control.
13. Limitation of Liability
To the fullest extent permitted by law, Truevail is not liable for indirect, incidental, or consequential damages. Liability is limited to fees paid in the three months preceding any claim.
14. Indemnification
The Client agrees to indemnify and hold harmless Truevail from claims arising from misuse of the Services or unauthorized use of Content.
15. Platform Availability
Truevail may perform maintenance or modify Services at any time and is not liable for interruptions.
16. Third-Party Integrations
Third-party services are governed by their own terms. Truevail is not responsible for third-party issues.
17. Dispute Resolution
Disputes will be resolved through binding arbitration under the rules of the American Arbitration Association.
18. Changes to Terms
Truevail may update these Terms at any time. Continued use constitutes acceptance.
19. Governing Law
These Terms are governed by the laws of Florida, USA.
